L.-33004/99 xxxGIDHxxx xxxGIDExxx असाधारण EXTRAORDINARY भाग III—खण् ड 4 PART III—Section 4 प्राजधकार से प्रकाजित PUBLISHED BY AUTHORITY भारतीय प्रजतभूजत और जिजिमय बोडड अजधसूचिा म ंबई, 12 अक् तूबर, 2026 भारतीय प्रजतभूजत और जिजिमय बोडड (अिसंरचिा जििेि न्यास) (दूसरा संिोधि) जिजियम, 2026 सं. सेबी/एल.ए.डी-डी.ओ.पी/2026/327.— बोडड, भारतीय प्रजतभूजत और जिजिमय बोडड अजधजियम, 1992 (1992 का 15) की धारा 11 तथा धारा 12 के साथ पठित धारा 30 के तहत प्रदाि की गई िजियों का प्रयोग करते हुए, एतद्द्वारा भारतीय प्रजतभूजत और जिजिमय बोडड (अिसंरचिा जििेि न्यास) जिजियम, 2014 का और संिोधि करिे के जलए जिम्नजलजखत जिजियम बिाता है, अथाडत्:- 1. इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड (अिसंरचिा जििेि न्यास) (दूसरा संिोधि) जिजियम, 2026 कहा िा सकेगा । 2. ये जिजियम रािपत्र में इिके प्रकाजित होिे की तारीख को लागू होंगे । 3. भारतीय प्रजतभूजत और जिजिमय बोडड (अिसंरचिा जििेि न्यास) जिजियम, 2014 में,- I. जिजियम 14 में, उप-जिजियम (5ख) के बाद, जिम्नजलजखत उप-जिजियम (5ग) िोडा िाएगा, अथाडत्,- सं. 621] िई ददल्ली, ब धिार, अक् तूबर 14, 2026/आज‍ िि 22, 1948 No.621] NEW DELHI, WEDNESDAY, OCTOBER 14, 2026/ASVINA 22, 1948 सी.जी.-एम.एच.-अ.-16102026-277220 CG-MH-E-16102026-277220 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] “(5ग) इिजिट (अिसंरचिा जििेि न्यास) की यूजिटों पर जडपॉज़िटरी ठरसीट्स िारी की िा सकेंगी, हालााँदक इसके जलए इि जिजियमों (रेग्यूलेिन्स) के प्रािधािों का पालि करिा होगा, और ये उसी प्रकार िारी की िाएाँगी िैसा बोडड बताए ।” II. जिजियम 22 में, (क) उप-जिजियम (5क) में, िब्दों तथा जचह्िों “मूल्य के अि सार पचहत्तर प्रजतित यूजिटधारकों की मंिूरी लेिी होगी (का अि मोदि लेिा होगा)” के स्ट्थाि पर िब्द तथा जचह्ि “यूजिटधारकों की मंिूरी लेिी होगी, जिसके जलए संकल्प (रे़िोल्यूिि) के संबंध में डाले गए क ल मतों के कम से कम पचहत्तर प्रजतित मत संकल्प (रे़िोल्यूिि) के पक्ष में डाले िाएाँ” आ िाएाँगे । (ख) उप-जिजियम (5ग) में, िब्दों तथा जचह्िों “ऐसे व्यजि द्वारा और ऐसे व्यजि के साथ सामान्य मजत से कायड करिे िाले व्यजियों द्वारा ऐसे अिसंरचिा जििेि न्यास में धाठरत यूजिटें जमलाकर अिसंरचिा जििेि न्यास की बकाया यूजिटों के मूल्य के पच्चीस प्रजतित से अजधक हो िाएं, िब तक दक मूल्य [जिसमें संव्यिहार (लेिदेि / रािैक्िि) से संबद्ध पक्षकारों (पाटी़ि) द्वारा धाठरत यूजिटों का मूल्य िाजमल िहीं है] के अि सार पचहत्तर प्रजतित यूजिट धारकों से अि मोदि ि ले जलया िाए” के स्ट्थाि पर िब्द तथा जचह्ि “ऐसे व्यजि के पास और ऐसे व्यजि के साथ एक ही इरादे से कायड करिे िाले व्यजियों के पास उस इिजिट में िो यूजिटें पडी हों, िे क ल जमलाकर उस इिजिट की मौिूदा (बकाया) यूजिटों के मूल्य के पच्चीस प्रजतित से अजधक हो िाएाँ, िब तक दक यूजिटधारकों की मंिूरी ि ले ली िाए, िहााँ संकल्प (रे़िोल्यूिि) के संबंध में डाले गए क ल मतों के कम से कम पचहत्तर प्रजतित मत संकल्प (रे़िोल्यूिि) के पक्ष में डाले िाएाँ, और मतों की जगिती करते समय लेिदेि (रांिेक्िि) से संबंजधत पक्षों (संबद्ध पक्षकारों / ठरलेटेड पाटी़ि) द्वारा डाले गए मत ि जगिे िाएाँ” आ िाएाँगे । (ग) उप-जिजियम (7) में, i. खंड (क) में, िब्दों तथा जचह्िों “ऐसे पठरितडि से पूिड, मूल्य [जिसमें संव्यिहार (लेिदेि / रांिैक्िि) से संबद्ध पक्षकारों (पाटी़ि) द्वारा धाठरत यूजिटों का मूल्य िाजमल िहीं है] के अि सार पचहत्तर प्रजतित यूजिट धारकों से अि मोदि जलया िाएगा” के स्ट्थाि पर िब्द तथा जचह्ि “ऐसे बदलाि (पठरितडि) करिे से पहले यूजिटधारकों की मंिूरी लेिी होगी, जिसके जलए संकल्प (रे़िोल्यूिि) के संबंध में डाले गए क ल मतों के कम से कम पचहत्तर प्रजतित मत संकल्प (रे़िोल्यूिि) के पक्ष में डाले िाएाँ, और मतों की जगिती करते समय लेिदेि (रांिेक्िि) से संबंजधत पक्षों (संबद्ध पक्षकारों / ठरलेटेड पाटी़ि) द्वारा डाले गए मत ि जगिे िाएाँ” आ िाएाँगे । ii. खंड (ख) में, उप-खंड (iii) के बाद, जिम्नजलजखत उप-खंड (iv) िोडा िाएगा, अथाडत्,- “(iv) यदद दकसी इिजिट के कई प्रायोिक (स्ट्पॉन्सर) हों और उिमें से कोई एक प्रायोिक िा रहा (एजग़्िट ले रहा) हो, तो ऐसे में िािे िाला प्रायोिक या उसके स्ट्पॉन्सर ग्र प की एंठटठटयााँ (प्रायोिक समूह की एंठटठटयााँ) अथिा आगे बिे रहिे िाला प्रायोिक या उसके स्ट्पॉन्सर ग्र प की एंठटठटयााँ असहमजत प्रकट करिे िाले यूजिटधारकों की यूजिटें खरीदकर उन्हें उसी प्रकार एजग़्िट (जिकास) का जिकल्प प्रदाि करेंगी, िैसा बोडड बताए ।” बबीता राय डू, कायडपालक जिदेिक [जिज्ञापि-III/4/असा./390/2026-27] [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 ठटप्पणी : भारतीय प्रजतभूजत और जिजिमय बोडड (अिसंरचिा जििेि न्यास) जिजियम, 2014 (अजधसूचिा सं. एलएडी/एिआरओ/िीएि/2014-15/10/1577) 26 जसतम्बर, 2014 को भारत के रािपत्र में प्रकाजित हुए थे, और िो अंजतम बार 17 अप्रैल, 2026 को भारतीय प्रजतभूजत और जिजिमय बोडड (अिसंरचिा जििेि न्यास) (संिोधि) जिजियम, 2026 (अजधसूचिा सं. सेबी/एलएडी-एिआरओ/िीएि/2026/301) द्वारा संिोजधत हुए थे । SECURITIES AND EXCHANGE BOARD OF INDIA NOTIFICATION Mumbai, the 12th October, 2026 SECURITIES AND EXCHANGE BOARD OF INDIA (INFRASTRUCTURE INVESTMENT TRUSTS) (SECOND AMENDMENT) REGULATIONS, 2026 No. SEBI/LAD-DOP/2026/327.— In exercise of the powers conferred under Section 30 read with Sections 11 and 12 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014, namely: – 1. These regulations may be called the Securities and Exchange Board of India (Infrastructure Investment Trusts) (Second Amendment) Regulations, 2026. 2. They shall come into force on the date of their publication in the Official Gazette. 3. In the Securities and Exchange Board of India (Infrastructure Investment Trusts) Regulations, 2014, ─ I. in regulation 14, after sub-regulation (5B), the following sub-regulation (5C) shall be inserted, namely, - “(5C) Depository Receipts may be issued on units of an InvIT subject to compliance with these regulations and in such manner as may be specified by the Board.” II. in regulation 22, (a) in sub-regulation (5A), the words and symbols “from seventy five per cent. of the unit holders by value shall be obtained.” shall be substituted with the words and symbols “shall be obtained from the unitholders, where the votes cast in favour of the resolution shall be at least seventy five per cent. of the total votes cast for the resolution.” (b) in sub-regulation (5C), the words and symbols “from seventy five per cent. of the unit holders by value excluding the value of units held by parties related to the transaction, is obtained:” shall be substituted with the words and symbols “is obtained from the unitholders, where the votes cast in favour of the resolution shall be at least seventy five per cent. of the total votes cast for the resolution, excluding the votes cast by the parties related to the transaction:”. (c) in sub-regulation (7), i. in clause (a), the words and symbol “from seventy five per cent. of the unit holders by value excluding the value of units held by parties related to the transaction shall be obtained” shall be substituted with the words and symbols “is obtained from the unitholders, where the votes cast in favour of the resolution shall be at least seventy five per cent. of the total votes cast for the resolution, excluding the votes cast by the parties related to the transaction;”. ii. in clause (b), after sub-clause (iii), the following sub-clause (iv) shall be inserted, namely, - “(iv) in case of an exit of a sponsor in an InvIT with multiple sponsors, the outgoing sponsor or its sponsor group entities or any of the continuing sponsor or its sponsor group entities shall 4 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] provide the dissenting unitholders an option to exit by buying their units in the manner specified by the Board.”.
