L.-33004/99 xxxGIDHxxx xxxGIDExxx असाधारण EXTRAORDINARY भाग III—खण् ड 4 PART III—Section 4 प्राजधकार से प्रकाजित PUBLISHED BY AUTHORITY भारतीय प्रजतभूजत और जिजिमय बोडड अजधसूचिा म ंबई, 8 अक् तूबर, 2026 भारतीय प्रजतभूजत और जिजिमय बोडड (अि संधाि जिश्लेषक) (संिोधि) जिजियम, 2026 फा. सं. सेबी/एलएडी-एिआरओ/िीएि2026 / /321.—बोडड, भारतीय प्रजतभूजत और जिजिमय बोडड अजधजियम, 1992 (1992 का 15) की धारा 11 की उप-धारा (2) के खंड (ख) के साथ पठित धारा 30 की उप-धारा (1) द्वारा प्रदाि की गई िजियों का प्रयोग करते हुए, एतद्द्वारा भारतीय प्रजतभूजत और जिजिमय बोडड (अि संधाि जिश्लेषक) जिजियम, 2014 का और संिोधि करिे के जलए जिम्नजलजखत जिजियम बिाता है, अथाडत्:- 1. इि जिजियमों को भारतीय प्रजतभूजत और जिजिमय बोडड (अि संधाि जिश्लेषक) (संिोधि) जिजियम, 2026 कहा िा सकेगा । 2. ये जिजियम रािपत्र में इिके प्रकाजित होिे की तारीख से तीसिें ददि लागू होंगे । सं. 607] िई ददल्ली, ि क्रिार, अक् तूबर 9, 2026/आज‍ िि 17, 1948 No. 607] NEW DELHI, FRIDAY, OCTOBER 9, 2026/ASVINA 17, 1948 सी.जी.-एम.एच.-अ.-10102026-277051 CG-MH-E-10102026-277051 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART III—SEC.4] 3. भारतीय प्रजतभूजत और जिजिमय बोडड (अि संधाि जिश्लेषक) जिजियम, 2014 में,- I. खंड 2(1)(झ) के बाद, जिम्नजलजखत खंड िोड़ा िाएगा, अथाडत्- “(झक) “इंजस्ट्िट्यूििल इन्िेस्ट्िर” (संस्ट्थागत जििेिक) का िही अथड होगा, िो भारतीय प्रजतभूजत और जिजिमय बोडड [पूूँिी का जिगडमि (इ‍यू) और प्रकिीकरण अपेक्षाएूँ] जिजियम, 2018 के जिजियम 2 के उप-जिजियम (1) के खंड (म) में इसके जलए ददया हुआ है;” II. उप-जिजियम 25(1) में – क. खंड (vii) में, i. िब्दों तथा जचह्ि “प्राप्त होिे िाले ईमेल, कॉल ठरकॉर्डिंग आदद” के स्ट्थाि पर िब्द तथा जचह्ि “प्राप्त होिे िाले ईमेल, उिके साथ हुई बातचीत की कॉल ठरकॉर्डिंग” आ िाएूँगे; ii. जचह्ि “;” के स्ट्थाि पर जचह्ि “:” आ िाएगा; ख. खंड (vii) के बाद, जिम्नजलजखत परंत क िोड़ा िाएगा, अथाडत्- “परंत यह दक उि ग्राहकों के साथ हुई बातचीत की कॉल ठरकॉर्डिंग रखिा िरूरी िहीं होगा, िो इंजस्ट्िट्यूििल इन्िेस्ट्िर (संस्ट्थागत जििेिक) हों ।” अजमत प्रधाि, कायडपालक जिदेिक [जिज्ञापि-III/4/असा./376/2026-27] ठिप्पणी: भारतीय प्रजतभूजत और जिजिमय बोडड (अि संधाि जिश्लेषक) जिजियम, 2014 (सं. एल.ए.डी.-एि.आर.ओ./िी.एि./2014- 15/07/1414) 1 जसतम्बर, 2014 को भारत के रािपत्र में प्रकाजित हुए थे, और िो अंजतम बार 25 ििम्बर, 2025 को भारतीय प्रजतभूजत और जिजिमय बोडड (अि संधाि जिश्लेषक) (दूसरा संिोधि) जिजियम, 2025 (अजधसूचिा फा. सं. सेबी/एलएडी-एिआरओ/िीएि/2025/277) द्वारा संिोजधत हुए थे । [भाग III—खण् ड 4] भारत का रािपत्र : असाधारण 3 SECURITIES AND EXCHANGE BOARD OF INDIA NOTIFICATION Mumbai, the 8th October, 2026 SECURITIES AND EXCHANGE BOARD OF INDIA (RESEARCH ANALYSTS) (AMENDMENT) REGULATIONS, 2026 F. No. SEBI/LAD-NRO/GN/2026/321.— In exercise of the powers conferred by sub-section (1) of section 30 read with clause (b) of sub-section (2) of section 11 of the Securities and Exchange Board of India Act, 1992 (15 of 1992), the Board hereby makes the following regulations to further amend the Securities and Exchange Board of India (Research Analysts) Regulations, 2014, namely: —– 1. These Regulations may be called the Securities and Exchange Board of India (Research Analysts) (Amendment) Regulations, 2026. 2. They shall come into force on the thirtieth day from the date of their publication in the Official Gazette. 3. In the Securities and Exchange Board of India (Research Analysts) Regulations, 2014, – I. after clause 2(1)(i), the following clause shall be inserted, namely– “(ia) “institutional investor” shall have the same meaning as assigned to it in clause (y) of sub- regulation (1) of regulation 2 of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018;” II. in sub-regulation 25(1)- a. in clause (vii), i. the word and symbol “etc.” shall be omitted; ii. the symbol “;” shall be substituted with the symbol “:”; b. after clause (vii), the following proviso shall be inserted, namely, “Provided that the requirement to maintain call recordings of communications with clients which are institutional investors shall not be mandatory.” AMIT PRADHAN, Executive Director [ADVT.-III/4/Exty./376/2026-27] Note: The Securities and Exchange Board of India (Research Analysts) Regulations, 2014 were published in the Gazette of India on September 01, 2014 vide No. SEBI/LAD-NRO/GN/2014-15/07/1414 and were last amended on November 25, 2025 by the Securities and Exchange Board of India (Research Analysts) (Second Amendment) Regulations, 2025 vide notification no.
