L.-33004/99 xxxGIDHxxx xxxGIDExxx ऄसाधारण EXTRAORDINARY भाग II—खण् ड 3—ईप-खण् ड (i) PART II—Section 3—Sub-section (i) प्राजधकार से प्रकाजित PUBLISHED BY AUTHORITY कारपोरेट कायय मंत्रालय ऄजधसूचना नइ ददल् ली, 4 जसतम् बर, 2025 सा.का.जन.603(ऄ).––केन्द्रीय सरकार, कंपनी ऄजधजनयम, 2013 (2013 का 18) की धारा 233 के साथ पठठत धारा 469 की ईपधारा (1) और (2) द्वारा प्रदत्त िजियों का प्रयोग करते हुए, कंपनी (समझौते, ठहराव और समामेलन) जनयम, 2016 का और संिोधन करने के जलए जनम्नजलजखत जनयम बनाती है, ऄथायत:- 1. संजिप्त नाम और प्रारंभ.- (1) आन जनयमों का संजिप्त नाम कंपनी (समझौते, ठहराव और समामेलन) संिोधन जनयम, 2025 है। (2) ये जनयम राजपत्र में प्रकािन की तारीख से प्रवृत होंगे। 2. कंपनी (समझौते, ठहराव और समामेलन) जनयम, 2016 (जजसे आसमे आसके पश्चात "ईि जनयम" कहा गया है।) में, जनयम 25 में, (क) ईप-जनयम (1) के स्ट्थान पर जनम्नजलजखत ईप-जनयम रखा जाएगा, ऄथायत्: “(1) ऄजधजनयम की धारा 233 की ईपधारा (1) के खंड (क) के ऄधीन प्रस्ट्ताजवत स्ट्कीम की सूचना प्ररूप संख्या सीएए-9 में ददया जाएगा, जजससे रजजस्ट्रार और िासकीय समापक या आस स्ट्कीम से प्रभाजवत व्यजियों की अपजत्त या सुझाव प्राप्त हो सके: सं. 559] नइ ददल्ली, बृहस्ट् पजतवार, जसतम् बर 4, 2025/भार 13, 1947 No. 559] NEW DELHI, THURSDAY, SEPTEMBER 4, 2025/BHADRA 13, 1947 सी.जी.-डी.एल.-अ.-08092025-266000 CG-DL-E-08092025-266000 2 THE GAZETTE OF INDIA : EXTRAORDINARY [PART II—SEC. 3(i)] परन्द्तु दकसी िेत्रीय जवजनयामक जैसे भारतीय ठरजवय बैंक, प्रजतभूजत और जवजनमय बोडय, भारतीय बीमा जवजनयामक और जवकास प्राजधकरण या पेंिन जनजध जवजनयामक और जवकास प्राजधकरण द्वारा, जवजनयजमत कंपनी के मामले में, संबंजधत जवजनयामक को और सूचीबद्ध कंपजनयों के मामले में संबंजधत स्ट्टॉक एक्सचेंजों को धारा 233 की ईप-धारा (1) के खंड (क) में जवजनर्ददष्ट ऄवजध के भीतर अपजत्तयों या सुझावों के जलए नोठटस जारी दकया जाएगा।”। (ख) ईप-जनयम (1क) में,- (i) खंड (ii) में, " स्ट्टाटय-ऄप कंपनी" िब्दों के स्ट्थान पर, " स्ट्टाटय-ऄप कंपनी; या" िब्द रखे जाएंगे, (ii) खंड (ii) के पश्चात, जनम्नजलजखत खंड ऄंतःस्ट्थाजपत दकए जाएंगे, ऄथायत्:- “(iii) ऄजधजनयम की धारा 8 में जनर्ददष्ट कंपनी के ऄजतठरि एक या ऄजधक ऄ-सूचीबद्ध कंपनी के साथ ऄजधजनयम की धारा 8 में जनर्ददष्ट कंपनी के ऄजतठरि एक या ऄजधक ऄ-सूचीबद्ध कंपनी, जहां जवलय में िाजमल प्रत्येक कंपनी--:- (क) के पास कुल जमलाकर दो सौ करोड़ रुपये से ऄजधक बकाया ऋण, जडबेंचर या जमा राजि है, और (ख) ईप-खंड (क) में जनर्ददष्ट ऋण, जडबेंचर या जमा राजि के पुनभुयगतान में कोइ चूक नहीं है: धारा 233 की ईपधारा (1) के खंड (क) में जनर्ददष्ट सूचना की तारीख से तीस ददनो के भीतर तथा ऄजधजनयम की धारा 233 की ईपधारा (2) के ऄधीन स्ट्कीम फाआल करने की तारीख को; परन्द्तु कंपनी के लेखापरीिक से यह प्रमाण पत्र दक कंपनी आस खंड में जनर्ददष्ट ितों को पूरा करती है, ऄजधजनयम की धारा 233 की ईपधारा (2) में जनर्ददष्ट ऄनुमोददत स्ट्कीम की प्रजत के साथ प्ररूप संख्या सीएए-10क में फाआल दकया जाएगा; (iv) एक होल्ल्डग कंपनी (सूचीबद्ध या - ऄ-सूचीबद्ध) और एक सहायक कंपनी (सूचीबद्ध या ऄ-सूचीबद्ध): परन्द्तु यह खंड वहां लागू नहीं होगा जहां हस्ट्तांतरणकताय कंपनी या कंपजनयां सूचीबद्ध हैं; (v) दकसी होल्ल्डग कंपनी की एक या ऄजधक सहायक कंपनी, ईसी होल्ल्डग कंपनी की एक या ऄजधक ऄन्द्य सहायक कंपनी के साथ, जहां हस्ट्तांतरणकताय कंपनी या कंपजनयां सूचीबद्ध नहीं हैं; ईदाहरण:- कंपनी 'डी', कंपनी 'सी' की सहायक कंपनी है और कंपनी 'सी', कंपनी 'बी' की सहायक कंपनी है और बदले में कंपनी 'बी', कंपनी 'ए' की पूणय स्ट्वाजमत्व वाली सहायक कंपनी (डब्ल्यूओएस) है। आस मामले में, कंपनी 'बी', कंपनी 'ए' की पूणय स्ट्वाजमत्व वाली सहायक कंपनी है। कंपनी 'सी' और कंपनी 'डी' एक ही होल्ल्डग कंपनी, ऄथायत कंपनी 'ए' की सहायक कंपजनयां हैं। खंड में ईजल्लजखत ितय के ऄधीन, कंपनी 'ए', कंपनी 'बी', कंपनी 'सी' और कंपनी 'डी' या ईसके दकसी संयोजन के बीच जवलय या समामेलन या हस्ट्तांतरण या जवभाजन की स्ट्कीम आस खंड के ऄंतगयत कवर की जाएंगी। (vi) भारत के बाहर जनगजमत ऄंतरक जवदेिी कंपनी का, जो एक होल्ल्डग कंपनी है, ऄंतठरती भारतीय कंपनी जो भारत में जनगजमत ईसकी पूणय स्ट्वाजमत्व वाली सहायक कंपनी है के साथ जवलय, जजसे जनयम 25क के ईपजनयम (5) में जनर्ददष्ट दकया गया है;” (ग) ईपजनयम (2) में, "प्ररूप संख्या सीएए.10" में िब्दों, ऄिरों और ऄंकों के पश्चात्, कोष्ठक, िब्द, ऄिर और ऄंक “(प्रपत्र जीएनएल-1 के ऄनुलग्नक के रूप में)” ऄंत:स्ट्थाजपत दकए जाएंगे; (घ) ईपजनयम (4) में, खंड (क) के स्ट्थान पर, जनम्नजलजखत खंड रखा जाएगा, ऄथायत्:- “(क) ऄजधजनयम की धारा 233 की ईपधारा (2) के प्रयोजनो के जलये ऄंतरणकताय कंपनी सदस्ट्यो या सदस्ट्यो की वगय ऄथवा लेनदारो या लेनदारो की वगय की बैठक समाजप्त के पश्चात पंरह ददनो के भीतर सदस्ट्यो और लेनदारो द्वारा यथाऄनुमोददत स्ट्कीम की एक प्रजत प्रत्येक बैठक के पठरणाम की एक ठरपोटय और प्ररूप संख्या सीएए.11 (प्ररूप अरडी-1के ऄनुलग्नक के रूप मे) रजजस्ट्रीकृत मूल्यांकन की ठरपोटय के साथ, कंपनी (रजजस्ट्रीकरण कायायलय और फीस) जनयम, 2014 के ऄधीन जवजनर्ददष्टनुसार फीस सजहत केंरीय सरकार को प्ररूप संख्या सीएए-11 मे फाआल करेगी। [भाग II—खण् ड 3(i)] भारत का राजपत्र : ऄसाधारण 3 परन्द्तु ईप-जनयम (1) के परंतुक में जनर्ददष्ट कंपनी के मामले में, यथाजस्ट्थजत, िेत्रीय जवजनयामक या स्ट्टॉक एक्सचेंजों की अपजत्तयों या सुझावों, यदद कोइ हों, को स्ट्कीम में समाधान करने की रीजत के बारे में एक बयान स्ट्कीम के साथ संलग्न दकया जाएगा:” (ड़) ईप-जनयम (8) के पश्चात् जनम्नजलजखत ईप-जनयम ऄंतःस्ट्थाजपत दकया जाएगा, ऄथायत्: “(9) आस जनयम के ईपबंध, यथावश्यक पठरवतयनों सजहत, धारा 232 की ईप-धारा (1) के खंड (ख) में जनर्ददष्ट दकसी कंपनी के ईपक्रम के जवभाजन या ऄंतरण की योजना के संबंध में लागू होंगे और ऐसा अदेि पाठरत करते समय, केंरीय सरकार धारा 232 की ईप-धारा (3) के खंड (क) से (ञ) में जनर्ददष्ट प्रकृजत के ईपबंध, जहां तक वे लागू होते हैं, कर सकेगी।” 3. आन जनयमो के ईपाबंध-क में, प्ररूप सीएए-9, सीएए-10, सीएए-11 और सीएए-12 के स्ट्थान पर जनम्नजलजखत प्ररूप रखे जाएंगे, ऄथायत:- प्ररूप संख्या सीएए.9 [धारा 233(1)(क) और जनयम 25(1) के ऄनुसरण में] अपजत्तयां एवं सुझाव अमंजत्रत करने की स्ट्कीम की सूचना एतद्दवारा मैससय [...................................](कंपनी का नाम) द्वारा सूजचत दकया जाता है दक मैससय [...] (कंपनी का नाम) के साथ जवलयन या समामेलन या जवभाजन या ईपक्रम के हस्ट्तांतरण की स्ट्कीम प्रस्ट्ताजवत है और कंपनी ऄजधजनयम, 2013 की धारा 233 की ईप-धारा (1) (क) के ऄनुसरण में आस स्ट्कीम के संबंध में अपजत्तयां या सुझाव अमंजत्रत दकए जाते हैं। स्ट्कीम की एक प्रजत संलग्न है। जनम्नजलजखत से अपजत्तयां या सुझाव अमंजत्रत हैं – (i) रजजस्ट्रार (ईस िेत्र के रजजस्ट्रार का ब्यौरा दें जहां ऄंतरक/ऄंतठरती कंपनी का रजजस्ट्रीकृत कायायलय जस्ट्थत है); Short title and commencement.‐ (1) These rules may be called the Companies (Compromises, Arrangements and Amalgamations) Amendment Rules, 2025. (2) They shall come into force on the date of their publication in the Official Gazette. 2.
